These Terms of Service ("Terms") govern your access to and use of the website and services provided by Data-Stretch Ltd ("Data-Stretch", "we", "us", or "our"). By accessing this website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the website or services.

1. Services

Data-Stretch provides information technology services including cloud migration, cybersecurity, custom software development, and IT consultancy. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate written agreement, proposal, or statement of work (an "Engagement Agreement"). Where these Terms conflict with a signed Engagement Agreement, the Engagement Agreement prevails.

2. Use of the website

You agree to use this website only for lawful purposes. You may not attempt to gain unauthorised access to any part of the website, interfere with its operation, transmit malicious code, or use automated means to scrape or overload the service. We may suspend or restrict access to the website at any time to protect its security or integrity.

3. Intellectual property

All content on this website — including text, graphics, logos, the "Data-Stretch" name and mark, and software — is owned by or licensed to Data-Stretch Ltd and is protected by applicable intellectual property laws. You may view and print content for your own reference, but you may not reproduce, distribute, or create derivative works without our prior written consent. Ownership of deliverables produced under an Engagement Agreement is governed by that agreement.

4. Client responsibilities

Where we provide services to you, you agree to supply accurate information, timely access to systems and personnel, and any approvals we reasonably require. Delays or inaccuracies in the materials you provide may affect timelines and costs. You are responsible for maintaining your own backups and for the lawfulness of the data you ask us to process.

5. Fees and payment

Fees, payment schedules, and currency are set out in the applicable Engagement Agreement. Unless stated otherwise, invoices are payable within the period specified on the invoice. Late payments may attract interest and may result in suspension of services after reasonable notice.

6. Confidentiality

Each party may receive confidential information from the other in the course of an engagement. Both parties agree to protect such information, use it only for the purposes of the engagement, and not disclose it to third parties except as required by law or as necessary to deliver the services.

7. Warranties and disclaimers

We perform our services with reasonable skill and care and in line with professional standards. Except as expressly stated in an Engagement Agreement, the website and any general information on it are provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that the website will be uninterrupted or error-free.

8. Limitation of liability

To the fullest extent permitted by law, Data-Stretch Ltd will not be liable for indirect, incidental, or consequential losses, or for loss of profits, revenue, data, or goodwill arising from your use of the website. Our total liability in connection with any engagement is limited as set out in the relevant Engagement Agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded.

9. Third-party links

This website may link to third-party sites or services that we do not control. We are not responsible for the content, policies, or practices of those third parties, and links do not imply endorsement.

10. Changes to these Terms

We may update these Terms from time to time. The "last updated" date above indicates when the current version took effect. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction over any dispute arising from them, without prejudice to any dispute-resolution mechanism agreed in an Engagement Agreement.
